These Terms of Use (“Terms”) are entered into by and between you (“User,” “you,” or “your”) and Optimize Health, Inc. (“Optimize,” “we,” or “us”) and govern your use of the Platform (as defined below).

PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Platform, you represent that you are of legal age to form a binding contract and that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.

1. The Platform

“Platform” means the website at https://optmzd.app, any associated web applications, API integrations, and all features, tools, and content available therein operated by Optimize Health, Inc.

The Platform provides AI-assisted supplement recommendations, health baseline tracking, daily check-ins, and related health optimization tools. All recommendations are informational only and do not constitute medical advice.

2. Not Medical Advice

The Platform is not a medical service. The supplement recommendations, health scores, and insights generated by the Platform are informational and educational in nature. They are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider before starting, stopping, or modifying any supplement regimen, especially if you have existing medical conditions, are pregnant, or are taking medications.

Optimize makes no representations or warranties regarding the accuracy, completeness, or suitability of any health information provided through the Platform.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to update it as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at optimizebizhq@gmail.com if you suspect unauthorized access.

4. User Conduct

You agree not to:

Use the Platform in violation of any applicable law or regulation.
Attempt to reverse engineer, decompile, or disassemble any part of the Platform.
Scrape, crawl, or systematically extract data from the Platform without our written consent.
Upload or transmit malicious code, viruses, or any content that is harmful, unlawful, or infringes third-party rights.
Use the Platform to develop competing products or services.
Share your account credentials with others or allow unauthorized access.
Interfere with or disrupt the integrity or performance of the Platform.

5. Subscription Terms & Payment

5.1 Subscriptions

Access to premium features requires a paid subscription. By purchasing a subscription, you agree to pay all applicable fees as presented at checkout. Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected).

5.2 Auto-Renewal

IMPORTANT: YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL AT LEAST 24 HOURS BEFORE RENEWAL. You authorize Optimize and its payment processors to charge your payment method on a recurring basis until cancellation.

5.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting optimizebizhq@gmail.com. Cancellation takes effect at the end of the current billing period; you will not be refunded for the remaining period unless you qualify under our Refund Policy.

5.4 Price Changes

We reserve the right to modify subscription pricing. We will provide reasonable advance notice of price changes. Continued use after a price change takes effect constitutes acceptance of the new price.

5.5 Taxes

You are responsible for all applicable taxes associated with your subscription. All fees are exclusive of taxes unless otherwise stated.

6. Intellectual Property

The Platform, including all software, content, features, and trademarks associated with Optimize, is the exclusive property of Optimize Health, Inc. and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

You retain ownership of any health data and personal information you submit. By submitting data to the Platform, you grant us a limited license to process and use it to provide the Platform services.

Any feedback or suggestions you provide to us become the property of Optimize Health, Inc.

7. Third-Party Services

The Platform integrates with third-party services (including Supabase, RevenueCat, OpenAI, and PostHog). Your use of such services is subject to their respective terms and privacy policies. Optimize is not responsible for the practices or content of any third-party services.

The Platform may suggest or reference third-party supplements or products. These are informational recommendations only. Optimize does not endorse, warrant, or assume responsibility for any third-party products. Consult a healthcare professional before purchasing or using any supplement.

8. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTIMIZE HEALTH, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OPTIMIZE'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO OPTIMIZE IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) TWENTY-FIVE U.S. DOLLARS ($25.00).

10. Indemnification

You agree to defend, indemnify, and hold harmless Optimize Health, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your breach of these Terms, or your violation of any law or third-party rights.

11. Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination will do so.

12. Dispute Resolution & Arbitration

Any dispute arising out of or relating to these Terms or your use of the Platform shall first be addressed through good-faith negotiation. If unresolved within 60 days, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. Arbitration shall take place in California. You and Optimize each waive the right to a jury trial and the right to participate in class actions.

Opt-Out: You may opt out of mandatory arbitration by emailing optimizebizhq@gmail.com within 30 days of first agreeing to these Terms with your name and opt-out request.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for intellectual property violations or other matters where such relief is appropriate.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved exclusively in the courts of California.

14. Changes to Terms

We may update these Terms at any time. We will indicate changes by updating the “Last Updated” date. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
